Vancouver, British Columbia / TheNewswire / December 8, 2017, Brett Walker ("Mr. Walker") makes the following announcement in accordance with National Instrument 62-103 The Early Warning System and Related Take Over Bids and National Instrument 62-104 Take-Over Bids and Issuer Bids.
On April 7, 2017, Mr. Walker acquired ownership and control of 1,500,000 common shares in the capital of Radiant Health Care Inc. (the "Issuer") at the deemed issue price of $0.10 per share for an aggregate consideration of $150,000 (the "Services Acquisition"). The Services Acquisition was made pursuant to a consulting agreement dated February 1, 2017.
Mr. Walker also advises that on April 7, 2017 he acquired (through Avro Capital Partners Inc. (Avro"), a corporation controlled by Mr. Walker) beneficial ownership and control of 1,000,000 common shares in the capital of the Issuer at the deemed issue price of $0.10 per share for an aggregate deemed consideration of $100,000 (the "Debt Acquisition", together with the Services Acquisition, the "Acquisition"). The Debt Acquisition was made pursuant to a debt settlement agreement dated April 1, 2017.
As a result of the Acquisition, Mr. Walker currently holds 3,216,703 common shares in the capital of the Issuer representing approximately 60.31% of the Issuer's currently issued and outstanding common shares. Prior to the Acquisition, Mr. Walker owned and controlled 716,703 Issuer common shares, representing approximately 46.73% of the Issuer's issued and outstanding common shares.
Mr. Walker acquired the Issuer shares for investment purposes. However, Mr. Walker will review his holdings from time to time and may, in the future, increase or decrease his ownership or control over securities of the Issuer as circumstances dictate.
